Panoptic

Terms of service

This page is a draft. Its plain sentences say what Panoptic does, as it's built; each marked place is for Panoptic's lawyer to write. Until they have, it isn't Panoptic's final text.

How Panoptic is offered to the owners who subscribe and the people they invite. The privacy policy says what Panoptic keeps, about whom and why.

These terms

These terms are for using Panoptic, an app for running a network of YouTube channels.

Who provides Panoptic (the business's legal name, its registered address and number), who these terms are an agreement with (the owner who subscribes, for their companies, and the people they invite), how they're accepted, and who may use Panoptic.

The service

  • Panoptic runs a network's production (templates, videos and their steps, reviews, ideas, files and each person's work), its team and their pay, its costs, other revenue and sponsorships, and YouTube's figures, with dashboards, analysis and alerts, and messages to the company's own Discord, Slack or Telegram.
  • Each company using Panoptic is kept apart from every other. Its owner is the person whose subscription pays for it; everyone else joins it by invitation, and each person's role decides what they see and do there.
  • Panoptic tracks pay; it pays nobody. A company pays its people itself and marks their payouts paid, and a deduction for late work is only ever suggested: an owner decides each one.

What people may and may not do with Panoptic, and Panoptic's right to change, suspend or end parts of the service.

Accounts

  • There are no passwords: everyone signs in with a code sent to their email address, so keeping that inbox safe keeps the account safe.
  • The owner signs up with their email address, subscribes, and creates their companies. Everyone else joins by invitation: as a business partner, a channel manager, a contributor, a sponsor's contact, or in a role the company made.
  • Someone deactivated can no longer use that company, and their history there stays. An owner can hand a company over to someone active in it whose own subscription is paid up.

Who is responsible for each account, and for what the people a company invites do in it.

The subscription

  • Panoptic has one plan, with no trials. The owner subscribes on Stripe's Checkout before creating their first company, and one subscription covers every company they own.
  • The price, and how often it's charged, are shown on Stripe's Checkout before paying, and on the invoices. A promotion code may lower it.
  • Payments happen on Stripe's own pages, so card details never reach Panoptic. The owner manages the subscription on Stripe's customer portal, from Panoptic's billing page: paying what's due, changing the card, seeing the invoices, or cancelling.

The fees, how and when they're charged and renewed, how a change of price is announced, refunds, and what happens when a payment fails.

Sales tax and VAT

  • Sales tax or VAT is added to the subscription where it applies: Stripe Tax works it out from the billing address given at Stripe's Checkout, and adds it to each invoice.
  • A business can give its tax ID at Checkout, and it goes on its invoices.
  • The address, name and tax ID given at Checkout are kept with the owner's customer in Stripe, so each renewal is taxed the same way. Stripe keeps the taxes and the invoices; Panoptic stores neither.

Whether the price includes or excludes tax, who is responsible for which taxes (a business's reverse charge, for example), and what the invoices must say.

When a subscription lapses

  • While Stripe has the subscription as unpaid, canceled, paused, or expired before its first payment went through, every company the owner owns is read-only until they pay: everything can still be read, nothing can be changed (though the owner can still delete a company), and invitations wait. So it is while a first payment is still going through.
  • A payment Stripe is still retrying (past due) leaves the companies working.
  • The billing page stays open to the owner, so that they can pay.

How the owner or Panoptic can end this agreement, what becomes of a company's data once its subscription has ended or it leaves Panoptic, and for how long it can still be exported.

YouTube and Google

  • A channel's owner connects it on Google's own consent page and decides what Panoptic may read; Panoptic only ever reads. Disconnecting the channel ends that access at Google.
  • YouTube's figures arrive two to three days late, and YouTube keeps revising revenue for weeks. Panoptic shows YouTube's revenue as YouTube's estimate, never as what is actually paid out, and a channel connected without access to its revenue shows its revenue as unavailable, never as zero. Every dashboard says the day YouTube's figures are complete through.

YouTube's and Google's own terms that bind the people using Panoptic (YouTube's Terms of Service, and Google's Privacy Policy), as Google's verification asks for them.

A company's data

  • What Panoptic keeps, about whom and why, is in the privacy policy.
  • A company's owner can download all of its data from the company's settings page, and deletes the company there when it leaves Panoptic: every record of it goes, its pay records and audit log included, and that can't be undone.
  • Deleting a channel's data, which only its owner can do once it's disconnected, can't be undone; the paid pay history, sponsor deals and the audit log stay.
